Eligibility. By completing the online form(s) to enroll in the Affiliate Program, you represent and warrant to Affiliate Program that you are over the age of 18 or the age of majority in your jurisdiction, whichever is higher, and that you are capable of entering into this Affiliate Agreement. By completing such online form(s) you are also certifying to Affiliate Program that the laws in your jurisdiction do not in anyway prohibit you from entering into this Affiliate Agreement.United States Requirement. If you are a citizen or resident of the United States, you will be required to supply Affiliate Program with the Federal Tax ID number or the Social Security Number which corresponds to the name you provide to us as the payee under this Affiliate Agreement. You acknowledge and agree that if you fail to provide us with accurate and complete information with respect to your Federal Tax ID or Social Security Number within thirty (30) days of your enrollment, you may not be entitled to any payments from Affiliate Program for any monies earned prior to you supplying Affiliate Program with this required information. Acceptance and Termination at Sole Discretion of Affiliate Program. The Affiliate Program reserves the right to accept or deny an application to become an Affiliate for any reason, and in Affiliate Program's sole and absolute discretion, including, but not limited to, your failure to supply us with accurate or complete data. We also reserve the right to immediately terminate your membership in the Affiliate Program at any time, in Affiliate Program's sole and absolute discretion.Access to Affiliate Program. You understand that your ability to perform under this Affiliate Agreement is contingent upon your ability to access the Internet and that you are solely responsible for any costs associated with your responsibilities under this Affiliate Agreement, including, but not limited to, setting up any websites, links, banner ads or other materials, connecting to the Internet, and maintaining and/or hosting any of the foregoing content.Your Contact Information. You understand and agree that you are required by this Affiliate Agreement to supply Affiliate Program with a valid and current email address and other contact information. A failure to do so may result in the termination of your membership with Affiliate Program. You agree to notify Affiliate Program of any change in your payment information at least five (5) days before the close of any pay period. No changes to your information are valid until you have received confirmation from Affiliate Program. You waive any and all damages, including interest, on any monies not received by you as a result of your violation of this section.License Granted. You are hereby granted a revocable, non-exclusive, non-transferable license to access and download promotional banners, videos, photographs, and other Promotional Materials provided by Affiliate Program, and/or created by you, provided that such materials are approved by Affiliate Program in writing ("Promotional Materials"), for use on site(s) owned by you ("Referral Sites"). Such Promotional Materials are licensed to you for the limited purposes of advertising, marketing and promoting Backpage.com and its various websites ("Backpage Sites"). Any and all licenses granted to you pursuant to this Affiliate Program shall immediately cease and revert to Affiliate Program upon the termination or cancellation of this Affiliate Agreement. License Restrictions. You agree not to share any of the Promotional Materials with anyone in any way which is not in accordance with the terms of this Affiliate Agreement and applicable law. NO LICENSE TO USE CERTAIN ADWORDS AND CERTAIN INTELLECTUAL PROPERTY. Although you are hereby granted a revocable, non-exclusive, non-transferable license to use the names of our Backpage Sites in connection with referring traffic to such sites, you are not permitted to (i) bid on, purchase or otherwise register/use 'Backpage.com' or other of the Backpage Sites or use the words 'Official', 'Officially' or 'Official Site' as keywords (sometimes referred to as 'AdWords') on Internet search engines, such as google.com, ask.com, yahoo.com, msn.com, etc.; (ii) use the Backpage Site names in association with any similar or competing website or service; or (iii) register any domain name which incorporates or is a 'misspelling' of any of the Backpage Site names. You agree that in the event you violate any part of this section of this Affiliate Agreement, you will be immediately terminated from the Affiliate Program, any monies earned but not yet paid will be forfeited, and that you will cooperate fully in transferring any items forbidden by this section to Affiliate Program as the rightful owner.Proprietary Rights. You acknowledge and agree that the copyright, patent, trade secret, proprietary and all other intellectual property rights of whatever nature in the Promotional Materials and any subsequent improvements thereto are and shall remain the property of Backpage.com LLC and Affiliate Program and nothing in this Agreement should be construed as transferring any aspects of such rights to you or any third party.Limitations on Your Use of Website Names. Subject to the limitations in the paragraphs above and pursuant to the license granted to you herein, Affiliate Program will permit you to use any and all website names that you may choose in connection with promoting the Backpage Sites so long as such website domain name(s) registered by you does not infringe on Affiliate Program's, Affiliate Program's affiliated entities' or any third party's intellectual property rights, defame, insult or otherwise harass anyone, and does not promote or suggest any illegal activity. Representations by You Regarding Your Content. You hereby represent and warrant that you have all legal rights, free from any and all third party claims, to all images, text, script(s), applications, logos, functional elements and any other content or data appearing on all Referral Sites (hereinafter, "Your Content"). Ownership of Promotional Materials. You hereby acknowledge and agree that all rights to the Promotional Materials belong solely to Affiliate Program and/or Affiliate Program's licensor(s). You further acknowledge and agree that any promotional content created by you and approved by Affiliate Program is a specially ordered and commissioned "work made for hire" within the meaning of the xxxx Copyright Act for the compensation provided according to the terms of the Commission Schedule set forth in Schedule A hereto. As to content created by you, even after termination, Affiliate Program will have a non-exclusive right in perpetuity to use such promotional content without compensation to you.Your Submissions. All comments, feedback, information or materials that you submit through or in association with the Affiliate Program shall be considered non-confidential. By submitting such comments, feedback, information or materials to us you represent and warrant that Affiliate Program's use of your submission does not and will not breach any agreement, violate any law, or infringe any third party rights. Affiliate Program is free to use in any manner all or part of the content of any such communications on an unrestricted basis without the obligation to notify, identify or compensate you or anyone else. You grant Affiliate Program all necessary rights, including a waiver of all privacy and moral rights to use all submissions, in whole or in part, or as a derivative work, without any obligation by Affiliate Program to you or anyone else. By submitting any comments, feedback, information or materials to Affiliate Program, you automatically grant Affiliate Program an irrevocable, perpetual, nonexclusive, fully paid, worldwide license to use, copy, perform, display and to prepare derivative works of, or incorporate into other works, all of the foregoing. No Promotion in Violation of Third Party Terms. You represent and warrant that you will only advertise on services and providers which permit such advertisement. You understand and agree that if you advertise for any service or provider which does not permit such advertising, your account will be terminated without notice and without pay, and that you will fully indemnify Backpage.com LLC and Affiliate Program against any claims arising from any claim that you have violated another party's rights or terms and conditions.Representations by You Regarding Safeguards for Minors. You hereby represent and warrant that you will put safeguards in place, including, but not limited to an 'age verification' page, so that no persons who have not yet attained the Age of Majority may view any and all content or Promotional Materials which may contain explicit images. You further represent and warrant that you will not 'deep link' so that a person does not first have to confirm that he/she is at least the Age of MajorityEmail Marketing. The Affiliate Program does not permit email marketing or promotion of any kind. You acknowledge and agree that any email marketing by you related in any way to the Affiliate Program or Backpage Sites will be grounds for immediate termination from Affiliate Program, without pay.Emails from the Affiliate Program. You acknowledge and agree that it may be necessary for Affiliate Program to email you with information regarding your account with Affiliate Program and changes to Affiliate Program. You further acknowledge and agree that while Affiliate Program has the right to send such emails to you, Affiliate Program is under no obligation to do so regardless of any emails Affiliate Program may have sent in the past or may send in the future.Affiliate Program Benefits. Affiliate Program pays commissions in accordance with the following Commission Schedule and Terms and Conditions, attached hereto as Schedule A, which may be changed at any time at Affiliate Program's sole discretion. Affiliate Program reserves the right to make any changes retroactively except as to checks for payments that have already been deposited without restriction by Affiliate.Account Information. You agree to notify Affiliate Program of any change in your payment information at least five (5) days before the close of any pay period. You hereby waive any and all damages, including interest, on any monies not received by you as a result of your violation of this section.Effect of Termination or Cancellation. Immediately upon termination or cancellation any and all licenses granted to you herein cease and revert to the Affiliate Program. You agree to immediately remove from any and all websites owned, controlled, managed, and/or maintained by you and destroy all copies of the Promotional Materials. If at the time of termination or cancellation you manage, own, operate or otherwise control a website which incorporates the Backpage Site names or misspellings thereof, you agree to transfer such websites to the Affiliate Program within twenty (20) days of termination or cancellation. Upon the request of Affiliate Program, you agree to mail to Affiliate Program written confirmation that all Promotional Materials have been removed and destroyed. You understand that your failure to comply with this section will result in irreparable harm to the Affiliate Program and any third party beneficiaries. The Affiliate Program reserves the right to take any and all legal actions necessary to enforce the provisions of this section against you including, without limitation, monetary damages, injunctions, and actions for specific performance.NO WARRANTIES. YOU EXPRESSLY AGREE THAT YOUR PERFORMANCE UNDER THIS AFFILIATE AGREEMENT AND USE OF THE PROMOTIONAL MATERIALS ARE AT YOUR SOLE AND EXCLUSIVE RISK. ALL MATERIALS AND SERVICES PROVIDED BY AFFILIATE PROGRAM ARE ON 'AS IS, WITH ALL FAULTS' AND 'AS AVAILABLE' BASES. AFFILIATE PROGRAM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT. AFFILIATE PROGRAM MAKES NO WARRANTY THAT ANY MATERIALS, SERVICES OR THE AFFILIATE PROGRAM (HEREINAFTER, "AFFILIATE SERVICES") WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, OR THAT THE AFFILIATE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DOES AFFILIATE PROGRAM MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE AFFILIATE SERVICES OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE AFFILIATE SERVICES OR THAT DEFECTS IN ANY SOFTWARE, HARDWARE OR THE AFFILIATE SERVICES WILL BE CORRECTED. You agree to defend, indemnify and hold Backpage.com LLC, Affiliate Program and its affiliates, successors, assigns, officers, employees, agents, directors, shareholders and attorneys, harmless from and against any and all claims and liabilities, including reasonable attorneys' and experts' fees, related to or arising from (a) any breach or violation by you of this Affiliate Agreement; (b) your use (or misuse) of Affiliate Program's Services and/or Promotional Materials; (c) all conduct and activities occurring using your account and/or Referral Sites; (d) any item or service sold or advertised in connection with your Referral Sites; (e) any defamatory, libelous or illegal material(s) contained within Your Content or material(s) or your information and data; (f) any claim or contention that any of your Referral Sites or Your Content contain any information, data or other materials which infringes any third party's patent, copyright, trademark, or other intellectual property rights or violates any third party's rights of privacy or publicity; (g) third party access or use of the Promotional Materials provided to you; (h) any claim related to your website(s); and/or (i) any costs incurred on your behalf as a result of your failure to comply with local or United States law. Affiliate Program reserves the right, at its own expense, to participate in the defense of any matter otherwise subject to indemnification from you, but shall have no obligation to do so and Affiliate Program is permitted by this Affiliate Agreement to later seek indemnification from you. You shall not settle any such claim or liability without the prior written consent of Affiliate Program, which consent shall not be unreasonably withheld. You understand that Affiliate Program will take any and all measures to protect itself from any legal or civil litigation including, but not limited to, removing your website(s) from its servers and/or canceling your account, in the Affiliate Program's sole discretion. You also understand that Affiliate Program will charge, on an hourly basis, for any and all time spent responding to any third party complaints, disputes, copyright claims or actions involving you or your Referral Sites.Jurisdiction and Costs. You hereby agree that all disputes arising out of this Affiliate Agreement shall be governed by the laws of Phoenix, Arizona. You and Affiliate Program hereby agree that the United Nations Convention on Contracts for the International Sale of Goods is specifically excluded from application to this Affiliate Agreement. You and Affiliate Program hereby submit to the exclusive jurisdiction of the state and federal courts in Maricopa County, Arizona for resolution of all disputes. Exclusive venue for any litigation permitted under this Affiliate Agreement shall be with the state and federal courts located in Maricopa County, Arizona. All actions shall be subject to the limitations set forth under the "No Warranties" and "No Liability" provisions of this Affiliate Agreement. Any cause of action by you with respect to the Affiliate Program or this Affiliate Agreement must be instituted within one (1) year after the cause of action arose or be forever waived and barred. In the event either you or Affiliate Program shall commence any claims, suits, or formal legal action to interpret and/or enforce the terms and conditions of this Affiliate Agreement, or relating in any way to this Affiliate Agreement, including without limitation asserted breaches of representations and warranties, the prevailing party in any such action or proceeding shall be entitled to recover, in addition to all other available relief, its reasonable attorneys' fees and costs incurred in connection therewith, including attorney's fees incurred on appeal.
